Terms of Service

These Terms of Service ("Terms") govern your access to and use of Qeemah's accounting software, e-invoicing services, and related features (collectively, the "Service"). By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Provider
The Service is provided by Mohamed Ahmed Mohamed Osman Computer Systems and Software Designing, a sole establishment registered in Abu Dhabi, United Arab Emirates, operating under the brand name "Qeemah" ("Qeemah," "we," "us," or "our").

2. Eligibility
You must meet the following requirements to use our Service:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Represent a business entity registered in Saudi Arabia, the UAE, or otherwise authorized to operate in the MENA region
- Provide accurate and complete registration information
- Comply with all applicable laws, including tax and e-invoicing regulations
By registering, you represent and warrant that you meet these requirements.
3. Account Registration and Security
3.1 Account Creation
To use the Service, you must create an account by providing:
- Company name and registration number
- VAT identification number (if applicable)
- Authorized user contact details (name, email, phone)
- Payment information for subscription billing
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized access or security breaches
- Using strong passwords and enabling multi-factor authentication when available
We are not liable for any loss or damage arising from your failure to comply with account security requirements.
3.3 Account Accuracy
You must keep your account information current and accurate. Inaccurate information may result in service disruptions, failed tax submissions, or account suspension.
4. Service Description
Qeemah provides cloud-based accounting and business management software, including:
- Financial Accounting: General ledger, journal entries, trial balance, financial statements
- ZATCA E-Invoicing: Generation, signing, and submission of e-invoices to ZATCA (Phase 1 & 2 compliant)
- Sales & Invoicing: Quotations, tax invoices, credit notes, payment tracking
- Purchases: Purchase orders, supplier invoices, expense management
- Inventory Management: Stock tracking, warehouse transfers, cost calculations
- VAT & Tax Compliance: VAT returns, tax reports, audit trails
- Payroll & HR: Employee records, salary processing
- Reports & Analytics: Customizable financial and operational reports
Features may vary by subscription plan. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.
5. ZATCA Integration and Compliance
5.1 E-Invoicing Services
Qeemah integrates with ZATCA's Fatoora platform to facilitate e-invoicing compliance. By using this feature, you authorize us to:
- Generate cryptographic stamps and digital signatures on your behalf
- Submit e-invoices and related data to ZATCA's systems
- Retrieve clearance responses and compliance statuses
- Maintain audit logs as required by Saudi e-invoicing regulations
5.2 Onboarding Requirements
To activate ZATCA integration, you must complete the onboarding process, which includes providing valid Cryptographic Stamp Identifier (CSID) credentials. You are responsible for obtaining these credentials from ZATCA.
5.3 Compliance Disclaimer
IMPORTANT: While Qeemah provides tools to facilitate ZATCA compliance, ultimate responsibility for tax compliance rests with you.
You acknowledge that:
- You are responsible for the accuracy of all tax data, invoices, and VAT calculations
- You must review and verify all submissions before transmission to ZATCA
- Qeemah is not liable for penalties, fines, or legal consequences resulting from incorrect data, missed deadlines, or non-compliance
- Changes to ZATCA regulations may require system updates or additional configuration
5.4 Service Availability
E-invoicing depends on ZATCA's systems. We are not responsible for ZATCA API downtime, rejection of submissions due to regulatory issues, or delays caused by external factors beyond our control.
6. Subscription and Payment Terms
6.1 Subscription Plans
Qeemah offers various subscription tiers with different feature sets and user limits. Current pricing is available at qeemahcloud.com/pricing.
6.2 Billing Cycle
Subscriptions are billed:
- Monthly: Billed on the same day each month
- Annually: Billed once per year (typically with a discount)
Payments are processed in Saudi Riyals (SAR) unless otherwise specified. VAT is added where applicable.
6.3 Payment Methods
We accept credit cards, debit cards, and other payment methods via our third-party payment processors (e.g., Stripe, HyperPay).
6.4 Automatic Renewal
Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current subscription rate.
6.5 Failed Payments
If payment fails, we will attempt to retry billing. If payment remains unsuccessful after multiple attempts, we may suspend or terminate your account. You remain responsible for all outstanding charges.
6.6 Refunds
Subscription fees are generally non-refundable. Exceptions may be made at our sole discretion for technical issues preventing service use. Contact billing@qeemahcloud.com for refund requests.
6.7 Price Changes
We may modify subscription prices with at least 30 days' notice. Price changes apply to new subscriptions and renewals, not current billing cycles.
7. User Responsibilities and Acceptable Use
You agree to:
- Lawful Use: Use the Service only for lawful business purposes and comply with all applicable laws
- Data Accuracy: Enter accurate financial data, customer information, and tax details
- Timely Backups: Regularly export and backup your data (we provide backup services but recommend maintaining your own copies)
- Security Practices: Implement reasonable security measures to protect your account
- User Management: Properly manage user permissions and deactivate accounts for terminated employees
7.1 Prohibited Activities
You must NOT:
- Use the Service to process fraudulent transactions or evade taxes
- Reverse engineer, decompile, or attempt to extract source code
- Interfere with or disrupt the Service or servers
- Use automated systems (bots, scrapers) without written permission
- Resell, sublicense, or transfer your account to third parties
- Upload malicious code, viruses, or harmful content
- Violate intellectual property rights or third-party agreements
- Impersonate others or misrepresent your business identity
Violation of these terms may result in immediate account suspension or termination without refund.
8. Intellectual Property Rights
8.1 Qeemah's Intellectual Property
The Service, including all software, designs, text, graphics, logos, and trademarks, is owned by Qeemah and protected by Saudi and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription.
8.2 Your Data
You retain all ownership rights to your business data. By using the Service, you grant us a limited license to process, store, and transmit your data solely to provide the Service.
8.3 Feedback
If you provide suggestions, feature requests, or feedback, we may use such information without obligation or compensation to you.
9. Warranties and Disclaimers
9.1 Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.2 No Guarantee of Compliance
While we design our Service to facilitate ZATCA and tax compliance, we do not guarantee that use of the Service will ensure full compliance with all applicable regulations. Professional tax advice may be required.
9.3 Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance, unexpected downtime, or third-party service failures may occur.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Qeemah shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities
- Our total liability for any claim arising from these Terms or use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim
- We are not liable for damages caused by your failure to comply with these Terms, maintain backups, or secure your account
- We are not responsible for third-party services, integrations, or ZATCA system issues
Some jurisdictions do not allow limitation of liability for certain damages. If applicable law prohibits these limitations, they may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Qeemah, its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:
- Your use or misuse of the Service
- Violation of these Terms or applicable laws
- Infringement of third-party intellectual property rights
- Inaccurate data or tax submissions you make through the Service
- Disputes with your customers, suppliers, or employees
12. Termination
12.1 Termination by You
You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing cycle. No refunds for partial months.
12.2 Termination by Us
We may suspend or terminate your account immediately if:
- You violate these Terms or engage in prohibited activities
- Your account remains unpaid after multiple billing attempts
- We are required to do so by law or governmental authority
- Continued provision of Service poses security or legal risks
12.3 Effect of Termination
Upon termination:
- Your access to the Service will cease
- You remain responsible for all outstanding charges
- You have 30 days to export your data before deletion (subject to legal retention requirements)
- Provisions regarding intellectual property, limitation of liability, and indemnification survive termination
13. Data Retention After Termination
After account termination, we retain financial and tax records for 10 years and e-invoicing data for 6 years as required by Saudi law. Other data is deleted after 30 days unless you request earlier deletion (subject to legal obligations).
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles.
14.2 Dispute Resolution
Any disputes arising from these Terms or use of the Service shall be resolved through:
- Informal Negotiation: Parties will first attempt to resolve disputes amicably within 30 days
- Arbitration: If negotiation fails, disputes will be submitted to binding arbitration under UAE arbitration laws
- Jurisdiction: Courts in Abu Dhabi, United Arab Emirates shall have exclusive jurisdiction for matters not subject to arbitration
15. Modifications to These Terms
We may update these Terms to reflect changes in our practices, legal requirements, or service features. Material changes will be communicated via:
- Email notification to your registered address
- In-app notification upon login
- Prominent notice on our website
Changes take effect 30 days after notification. Continued use after this period constitutes acceptance. If you do not agree, you must cancel your subscription before the effective date.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Qeemah regarding use of the Service.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
16.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.
16.4 Assignment
You may not assign or transfer your account or these Terms without our written consent. We may assign these Terms to affiliates or successors.
16.5 Force Majeure
We are not liable for delays or failures in performance caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, government actions, or internet service failures.

If you are accepting these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
